1. Agreement to these Terms

These Terms of Use (“Terms”) govern access to and use of OSDBU websites, applications, services, and related features (collectively, the “Services”) operated by AgileVRMS, LLC (“OSDBU,” “we,” “us,” or “our”). By accessing or using the Services, you agree to these Terms and to our Privacy Policy.

2. Purpose of OSDBU

OSDBU is a procurement technology platform designed to support vendor capability presentation, vendor discovery, procurement market research, business engagement, and related analysis. OSDBU does not act as a contracting officer, source-selection authority, procurement attorney, or awarding agency.

3. Eligibility and accounts

You must be legally able to enter into these Terms and authorized to act for any organization you represent. You are responsible for maintaining accurate account information, protecting account credentials, and promptly notifying us of suspected unauthorized access.

You may not share credentials in a manner that defeats access controls, misrepresent your identity or authority, or access another user’s account without authorization.

4. Vendor and organization content

You retain ownership of content you submit, subject to the rights needed for us to operate the Services. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, format, analyze, display, and transmit that content as necessary to provide, secure, maintain, and improve the Services and to make the content available according to your account settings and intended platform functionality.

You represent that you have the rights and authority needed to submit the content and that the content is not knowingly false, misleading, unlawful, or infringing.

5. Procurement and vendor information

Vendor profiles, capability statements, classifications, certifications, experience descriptions, and other business information may be provided by users, organizations, third parties, or public sources. Users are responsible for independently verifying information that is material to a procurement or business decision.

Presence on OSDBU does not constitute government endorsement, eligibility, responsibility determination, qualification, certification, or entitlement to an award.

6. AI-assisted and analytical features

OSDBU may provide search, matching, evidence extraction, or AI-assisted analysis. These features are intended to support research and professional judgment. Outputs may be incomplete, inaccurate, or affected by the quality and availability of source information.

You must not treat an OSDBU output as an automatic award recommendation, legal determination, final eligibility decision, or substitute for required procurement review. The user remains responsible for decisions, verification, and compliance with applicable procurement laws, policies, and procedures.

7. Acceptable use

You may not use the Services to:

• Violate law, regulation, procurement rules, contract obligations, or the rights of others.
• Submit knowingly false, deceptive, fraudulent, defamatory, infringing, or malicious content.
• Probe, scan, attack, bypass, disable, or interfere with security controls or service availability.
• Access data, accounts, systems, or features without authorization.
• Introduce malware, harmful code, automated abuse, or excessive traffic.
• Scrape, harvest, or bulk-extract information except as expressly permitted by us.
• Use the Services to discriminate unlawfully or to make prohibited decisions about individuals.
• Reverse engineer or attempt to derive non-public source code except where such restriction is prohibited by law.

8. Privacy and confidential information

Your use of the Services is subject to our Privacy Policy. You are responsible for ensuring that information you submit is appropriate for the platform and that you have authority to provide it. Do not submit passwords, authentication secrets, classified information, export-controlled information, or other information that you are not authorized to place in the Services.

9. Intellectual property

OSDBU, its software, design, branding, documentation, and other platform materials are owned by AgileVRMS, LLC or its licensors and are protected by applicable intellectual property laws. Except for the limited rights needed to use the Services, these Terms do not transfer ownership of our intellectual property to you.

10. Third-party services

The Services may interoperate with third-party hosting, identity, analytics, communication, AI, or other service providers. Third-party services may be subject to separate terms and privacy practices. We are not responsible for third-party services that you choose to use outside OSDBU.

11. Suspension and termination

We may restrict, suspend, or terminate access when reasonably necessary to protect the Services, users, data, legal compliance, or security, or when a user materially violates these Terms. Where appropriate, we may provide notice and an opportunity to address the issue.

12. Service availability and changes

We may add, modify, suspend, or discontinue features as the Services evolve. We work to provide reliable service but do not guarantee uninterrupted or error-free availability unless a separate written agreement expressly provides otherwise.

13. Disclaimers

To the maximum extent permitted by law, the Services are provided “as is” and “as available.” We disclaim warranties that are not expressly stated in a separate written agreement, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

14. Limitation of liability

To the maximum extent permitted by law, AgileVRMS, LLC and its affiliates, officers, employees, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, opportunities, or goodwill arising from or related to the Services. Any additional limitations or negotiated liability terms in a separate written agreement will control for that agreement.

15. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless AgileVRMS, LLC from claims, damages, liabilities, and expenses arising from your unlawful use of the Services, your violation of these Terms, or content you submit that violates the rights of another person or organization.

16. Government and organizational users

If you use OSDBU on behalf of a government entity or other organization, additional written terms, procurement requirements, security requirements, or statutory limitations may apply. Where a separate signed agreement conflicts with these Terms, the signed agreement controls for that organization and subject matter.

17. Governing law

Except where applicable law requires otherwise, these Terms are governed by the laws of the District of Columbia, without regard to conflict-of-law principles.

18. Changes to these Terms

We may update these Terms as the Services or legal requirements change. The revised Terms will be posted with a new effective date. When required, we will provide additional notice.
